1. Accepting these Terms
You accept these Terms when you create a workspace, accept an invitation to one, or otherwise use Frontless. If you accept them on behalf of a business, you confirm that you are authorised to bind that business, and “you” means the business.
Frontless is offered to businesses only, for use in the course of their business. You must be of the age of majority where you live to create an account. If you do not agree to these Terms, do not use Frontless.
2. The service
Frontless is business software that turns the concerns you describe into a workspace that holds your records, watches them on a schedule, and reports findings with the evidence behind them and a confidence level (the “Service”). The Service is reached through the website at frontless.app and your workspace’s own subdomain.
Frontless is currently in beta. Features may be added, changed or removed as the product develops, and we will tell you in advance of any change that materially reduces what a paid feature does. Our roadmap describes plans, not commitments.
3. Accounts and workspaces
Accounts are tied to a verified work email address; sign-in is by a single-use link sent to that address. You are responsible for keeping access to your email accounts secure, for the people you invite into your workspace, and for the roles and permissions you give them.
A workspace’s administrators control who can access it and what each member can see. You are responsible for everything done in your workspace by its members, and you must tell us promptly at the address below if you believe an account has been used without permission.
4. Your data
“Customer Data” means everything you or your members put into the Service or connect it to: records, documents, emails you forward, files you upload, and data read from tools you connect. You own your Customer Data. You give us the right to host, copy, process and display it only as needed to provide, secure and support the Service for you, as described in the DPA.
We do not sell Customer Data, and we do not use it to train artificial-intelligence models — ours or anyone else’s.
You are responsible for having the right to put Customer Data into the Service, including any personal information about your clients, staff or contacts, and for its accuracy.
While your account is open you can export your invoices at any time as a register, a tax summary or a complete audit pack, and copy any grid selection. You can ask us for a full copy of your Customer Data in a machine-readable format at any time, including within 30 days after your account ends.
5. Artificial intelligence features
Some features use AI models from the providers listed on our Trust & Security page to understand requests, read documents and draft text. Which provider handles your workspace depends on the data region chosen for it.
AI output can be wrong. Frontless shows the evidence and the confidence level behind its findings, and proposes changes for your approval rather than making them on its own; changes are checked against your workspace’s setup and your permissions before they are saved. You remain responsible for decisions you make and for changes you approve, including any that rules you set up apply automatically.
Findings, forecasts and suggestions are information to support your decisions. They are not legal, tax, accounting, financial or other professional advice.
6. Acceptable use
You agree not to, and not to let anyone else:
- use the Service in breach of any law, or to store or send content you have no right to use;
- probe, scan or test the vulnerability of the Service, or get around its security, rate limits or access controls, except under a written agreement with us;
- access another customer’s data, or attempt to;
- send spam or unsolicited messages through the Service, or forward emails into it that you are not entitled to share;
- copy, resell or build a competing product from the Service, or reverse-engineer it except where the law allows this despite this restriction;
- use the Service in a way that places an unreasonable load on it or interferes with other customers.
7. Fees, credit and payment
Operating your business in Frontless is free: importing, editing, inviting your team and keeping your records do not cost anything. Charges apply only to the watched questions and the work Frontless does for you, at the prices shown on our Pricing page. During beta those prices are indicative and may change before general launch.
Charges are drawn from prepaid credit in Canadian dollars that you buy through our payment processor, Stripe. You can also turn on automatic reload, which charges your saved card when your balance falls below the level you choose. Every charge on your account points to the work it paid for.
If your credit runs out, we warn your administrators first. Delivery of paid work — watching questions and work done for you — then pauses until you top up. Your access to the workspace and to all of your records never pauses because of an unpaid balance.
Prices exclude taxes. Sales taxes — GST and QST, or HST, depending on your billing address — are added on top of each top-up at checkout. They are not credit: the credit you receive is the pre-tax amount you chose.
Credit is not refundable, except where the law requires it or where a charge was made in error. If a payment is refunded or reversed, the credit it bought is removed from your balance.
We will give you at least 30 days’ notice by email before a price increase applies to your workspace.
8. Connected tools and third parties
You can connect Frontless to other services you use, such as a CRM. Your use of those services is governed by their own terms. When you connect one, you authorise Frontless to read from it, and where you ask, to write to it, on your behalf. We are not responsible for third-party services or for changes they make that affect a connection.
9. Our intellectual property
Frontless, its software, design and documentation belong to us and our licensors. These Terms give you a non-exclusive, non-transferable right to use the Service for your business while your account is open; they do not transfer any ownership to you.
If you send us ideas or feedback, we may use them without obligation to you.
10. Confidentiality
Each of us will protect the other’s confidential information with at least reasonable care, use it only for the purposes of this agreement, and disclose it only to people who need it for those purposes and are bound to keep it confidential, or where the law requires. Customer Data is your confidential information.
11. Ending the agreement
You may stop using Frontless at any time and ask us to close your account and delete your workspace by writing to the address below. Workspaces are not yet deleted from inside the product; we act on these requests by hand.
We may suspend or end your access if you materially breach these Terms and do not fix the breach within 15 days of our notice, or immediately where that is needed to protect the Service, other customers or the law. We may also end the Service as a whole with at least 90 days’ notice, in which case we will refund any unused credit.
When your account ends, we delete your Customer Data as described in the DPA, except records we must keep by law — in particular issued invoices, which are kept for the legally required period and then deleted automatically.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care and maintain the security measures described on our Trust & Security page and in the DPA.
Otherwise, and to the extent the law allows, the Service is provided “as is” and “as available”, especially during beta. We do not promise that it will be uninterrupted or error-free, or that findings and AI output will be complete or accurate.
13. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect or consequential losses, or for lost profits, revenue or business opportunity, arising out of this agreement.
To the extent the law allows, each party’s total liability arising out of this agreement in any 12-month period is limited to the amounts you paid us in that period, or 1,000 Canadian dollars if that is greater.
Nothing in these Terms limits liability that cannot be limited by law, including liability for intentional or gross fault, or for bodily or moral injury caused to a person.
14. Claims about your data
You will defend us against, and pay the amounts resulting from, claims by third parties that your Customer Data or your use of the Service in breach of these Terms infringes their rights or breaks the law.
15. Changes to these Terms
We may update these Terms. For changes that materially affect you, we will tell your administrators by email at least 30 days before the change takes effect. If you do not agree to the change, you may end the agreement before it takes effect. The date at the top shows when the current version took effect.
16. Governing law and language
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply there. The courts of the judicial district of Montréal have exclusive jurisdiction over any dispute arising out of them, unless the law gives you the right to bring proceedings elsewhere.
These Terms are available in French and in English, and both versions are equally authoritative. You chose the version you are reading; the French version was made available to you first. Les présentes conditions sont offertes en français et en anglais; les deux versions font également foi.
17. General
These Terms, the DPA and any order or written agreement that refers to them are the whole agreement between us about the Service. If a provision is found unenforceable, the rest remains in force. Neither of us may assign this agreement without the other’s consent, except to a successor to all or substantially all of its business. Neither of us is liable for delays caused by events beyond its reasonable control.
